TERMS AND CONDITIONS

Cognitive Fitness Coach Co., Ltd.
Effective Date: 20 September 2026
Last Updated: 20 September 2026

These Terms and Conditions (“Terms”) govern your access to and use of the website, coaching services, educational programs, workshops, courses, digital products, and other services offered by Cognitive Fitness Coach Co., Ltd. (“Cognitive Fitness Coach,” “Company,” “we,” “our,” or “us”).

By accessing our website, purchasing a product or service, scheduling a session, enrolling in a program, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, do not use our services or website.

1. Eligibility

Our services are intended for individuals who are 18 years of age or older and legally capable of entering into a binding agreement.

By purchasing or using our services, you represent that you meet these requirements.

2. Services

Cognitive Fitness Coach Co., Ltd. provides services that may include:

  • Individual and group coaching

  • Cognitive fitness and performance coaching

  • Mindfulness and meditation instruction

  • Breathwork and related practices

  • Educational workshops and courses

  • Online educational content

  • Assessments and exercises

  • Digital products and resources

Specific services, pricing, duration, scheduling, and other terms may also be described on our website, booking platform, checkout page, or in a separate coaching or service agreement.

If a separate written service agreement applies to a particular coaching relationship or program, the terms of that agreement will control if there is a direct conflict with these general Terms.

3. Coaching Is Not Medical or Mental Health Treatment

Cognitive Fitness Coach provides coaching, education, skills development, and personal-development services.

Unless expressly stated otherwise in a separate professional-services agreement, our services do not constitute:

  • Psychotherapy

  • Mental health diagnosis or treatment

  • Medical care

  • Psychiatric care

  • Legal advice

  • Financial advice

  • Emergency or crisis services

Coaching is not a substitute for services provided by a licensed healthcare, mental health, legal, financial, or other appropriately qualified professional.

You are responsible for deciding whether coaching is appropriate for you and for seeking appropriate professional care when needed.

If you are experiencing a medical or mental health emergency, are at immediate risk of harm, or believe another person is in immediate danger, contact the appropriate emergency or crisis services in your location.

4. No Guarantee of Results

Coaching and educational services are collaborative processes.

Results vary between individuals and depend on many factors, including participation, circumstances, consistency, effort, and factors outside our control.

We do not guarantee any particular personal, professional, financial, health, relationship, performance, or other outcome from using our services.

Testimonials, examples, or descriptions of past client experiences do not guarantee that you will achieve the same or similar results.

5. Payments and Billing

Prices and payment terms are presented at the time of purchase, booking, or enrollment.

Payment may be processed through third-party payment providers such as Stripe. We generally do not directly store complete payment-card information.

You agree to provide accurate billing and payment information and authorize applicable charges associated with the services or products you purchase.

For installment plans, subscriptions, or recurring payments, additional terms may be displayed at checkout or contained in a separate service agreement.

You remain responsible for amounts properly due under an applicable agreement even if a payment method fails or expires.

6. Coaching Cancellations and Rescheduling

Unless a separate written agreement provides otherwise:

Individual coaching sessions require at least 24 hours’ notice to cancel or reschedule.

Sessions canceled with less than 24 hours’ notice, or missed without notice, may be charged in full or treated as used.

We understand that genuine emergencies occur and may exercise reasonable discretion when appropriate.

If Cognitive Fitness Coach must cancel or reschedule a session, we will make reasonable efforts to provide an alternative appointment or other appropriate remedy.

7. Courses, Programs and Digital Products

Specific refund, cancellation, access, and participation terms may be provided when you purchase a course, workshop, program, membership, or digital product.

Because downloadable, streamed, recorded, or immediately accessible digital content may be delivered upon purchase, refunds may be restricted once access or delivery has occurred, to the extent permitted by applicable law.

Nothing in these Terms eliminates any consumer right that cannot legally be waived or excluded.

8. Refunds

Refund eligibility is determined by:

  1. Any specific refund policy shown at the time of purchase;

  2. Any applicable coaching or service agreement;

  3. These Terms; and

  4. Applicable law.

Unless expressly stated otherwise, dissatisfaction with results alone does not create an automatic right to a refund for coaching or educational services already delivered.

9. Client Responsibilities

You are responsible for:

  • Providing accurate information relevant to the services

  • Participating voluntarily in coaching activities

  • Making your own decisions

  • Communicating concerns or limitations

  • Seeking appropriate professional assistance when necessary

  • Using reasonable judgment when participating in physical, mindfulness, breathwork, or other exercises

You remain responsible for your own choices, actions, and outcomes.

10. Breathwork, Mindfulness and Physical Activities

Certain programs may include breathing exercises, meditation, movement, physical activity, relaxation exercises, or other experiential practices.

Participation is voluntary.

You should stop an activity if you experience significant discomfort, dizziness, pain, distress, difficulty breathing, or another concerning reaction and seek appropriate medical advice when warranted.

You are responsible for determining whether participation is appropriate for your circumstances.

11. Intellectual Property

Unless otherwise stated, website content, written materials, worksheets, assessments, exercises, videos, audio recordings, course materials, graphics, branding, and other original content provided by Cognitive Fitness Coach are owned by or licensed to Cognitive Fitness Coach Co., Ltd. and are protected by applicable intellectual-property laws.

When you purchase or receive materials from us, you are generally granted a limited, personal, non-exclusive, non-transferable license to use those materials for your own personal purposes.

You may not, without prior written permission:

  • Copy or reproduce materials for commercial purposes

  • Resell or redistribute materials

  • Upload paid materials to public websites or file-sharing services

  • Record or redistribute courses or coaching sessions

  • Teach or deliver our proprietary materials as your own

  • Remove copyright, trademark, or ownership notices

  • Create derivative commercial products based substantially on our proprietary content

12. Confidentiality and Privacy

We treat client information with appropriate care and handle personal information in accordance with our Privacy Policy.

Coaching communications, however, should not automatically be assumed to have the same legal privilege or confidentiality protections that may apply to communications with licensed attorneys, physicians, psychotherapists, or other regulated professionals.

We may disclose information when reasonably necessary to comply with applicable law, legal process, regulatory requirements, or to address serious safety concerns where disclosure is legally permitted or required.

13. Electronic Communications

By communicating with us electronically, booking services online, submitting forms, or purchasing services electronically, you consent to conducting relevant business communications and transactions electronically.

Electronic records and communications may be used to document transactions and agreements where permitted by applicable law.

14. Acceptable Use

You agree not to:

  • Use our website or services for unlawful purposes

  • Attempt unauthorized access to systems or accounts

  • Disrupt the operation or security of our website

  • Harass, threaten, abuse, or intentionally harm other participants, staff, contractors, or clients

  • Misrepresent your identity

  • Share another person’s confidential information without authorization

  • Copy, distribute, or misuse proprietary materials

  • Use our services to infringe another person’s rights

We may suspend or terminate access when we reasonably believe these Terms have been materially violated.

15. Third-Party Platforms and Links

Our services may rely on third-party platforms such as payment processors, scheduling platforms, video-conferencing services, email providers, website hosts, analytics providers, or social-media platforms.

Those services are operated independently and may be governed by their own terms and privacy policies.

We are not responsible for the availability, security, content, or practices of third-party services except to the extent responsibility cannot legally be excluded.

16. Website Availability

We may modify, suspend, discontinue, or update portions of our website, content, programs, or services from time to time.

We do not guarantee uninterrupted or error-free availability of the website or third-party systems used to deliver services.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Cognitive Fitness Coach Co., Ltd., its directors, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from use of our website, content, products, or services.

To the extent permitted by law, our aggregate liability arising from a particular purchased service or product will not exceed the amount you paid to Cognitive Fitness Coach for the service or product giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Nothing in these Terms is intended to waive mandatory consumer-protection rights.

18. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, or reasonable costs resulting from your unlawful use of our services, intentional violation of these Terms, or infringement of another person’s rights.

This provision does not require you to indemnify us for losses caused by our own conduct where such responsibility cannot lawfully be transferred.

19. Force Majeure

We will not be responsible for delays or failure to perform obligations caused by circumstances reasonably beyond our control, including natural disasters, severe weather, war, civil disturbance, government action, widespread telecommunications outages, platform failures, epidemics, or similar events.

Where possible, we will make reasonable efforts to resume affected services or provide an appropriate alternative.

20. Suspension or Termination of Services

We may discontinue or terminate a coaching relationship, program, or account when reasonably necessary, including where:

  • Payment obligations remain unresolved

  • A participant materially violates these Terms

  • Conduct becomes threatening, abusive, unsafe, or seriously disruptive

  • Continuing the relationship is no longer appropriate or workable

Where appropriate, financial obligations and refunds will be handled according to the applicable agreement, services already delivered, and applicable law.

21. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-law principles, except where mandatory laws applicable to a consumer provide otherwise.

Any dispute that cannot reasonably be resolved informally will be subject to the jurisdiction of a court of competent jurisdiction in Thailand, except where applicable law grants a consumer a non-waivable right to bring a claim elsewhere.

22. Resolving Concerns

If you have a concern regarding a purchase or service, we encourage you to contact us first so that we have an opportunity to address the matter.

Nothing in this section prevents you from exercising rights or remedies available under applicable law.

23. Changes to These Terms

We may revise these Terms periodically to reflect changes in our services, business practices, or applicable law.

The current version will be posted on our website with the date of the latest revision.

Changes will apply prospectively unless applicable law permits or requires otherwise.

Material changes affecting an existing paid service will not automatically override specific contractual rights already agreed to unless permitted by the applicable agreement and law.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

25. No Waiver

A failure to enforce any provision of these Terms on one occasion does not waive our right to enforce that provision later.

26. Entire Agreement

These Terms, together with our Privacy Policy, applicable purchase terms, and any separate service or coaching agreement, constitute the relevant agreement between you and Cognitive Fitness Coach regarding the applicable services.

Where a separately signed service agreement conflicts with these general website Terms, the signed agreement will control with respect to that service unless applicable law requires otherwise.
